Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the website vebrixa.com and any web design, development, SEO, redesign or maintenance services provided by Vebrixa ("Vebrixa", "we", "us" or "our"). By engaging our services, submitting an enquiry, or making a payment, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
These Terms apply together with any project proposal or written quote we provide to you. If a signed proposal conflicts with these Terms, the proposal prevails for that specific project.
2. Who We Are
Vebrixa is a remote-first web design and development studio operated by Vebrixa, based in Faisalabad, Pakistan, serving clients across Australia and worldwide.
3. Scope of Services
We provide:
• Website Packages: Launch, Growth and Custom/E-commerce packages as described on our pricing section, each with defined page counts, features, revision rounds and delivery estimates
• Website Redesigns: modernisation of existing websites, including SEO preservation measures
• Care Plans: ongoing maintenance subscriptions (updates, backups, security monitoring, small content changes)
• Additional services: UI/UX design, local SEO and related digital services, as scoped in writing
Anything not explicitly included in your written quote is not part of the scope. Additional work is quoted separately before it begins – we never bill surprise hours.
4. Quotes, Pricing & Payment
- All prices are quoted in Australian Dollars (AUD) and are GST-exclusive unless stated otherwise.
- Every project begins with a free intro call, followed by a fixed written quote. The quoted price does not change unless you request additional scope.
- Standard payment schedule: 40% deposit to begin, 40% at design approval, 20% at launch. Work starts once the deposit is received.
- Invoices are payable within 7 days. Late payments may pause work until cleared.
- Care Plan subscriptions ($79/month) are billed monthly in advance and can be cancelled anytime effective at the end of the current billing period.
5. Timelines & Client Responsibilities
We provide estimated delivery windows with every quote (typically ~2 weeks for Launch, 3–4 weeks for Growth, 4–8 weeks for Custom builds) and stick to them – provided that:
You supply required content (text, images, access credentials) on time, and provide feedback/approvals within 5 business days of each milestone. If responses are delayed, the timeline extends day-for-day. We will always flag pending items clearly rather than let projects go quiet.
You confirm that you own or hold licences for all materials you provide to us (text, images, logos). We are not responsible for legal issues arising from materials supplied by you.
6. Revisions & Approvals
Each package includes defined revision rounds (Launch: 2 · Growth: 3 · Custom: as scoped). A revision round covers a consolidated set of changes per stage – it does not mean restarting the design from scratch after approval.
Development begins only after you approve the design direction in writing. Once the final build is approved and launched, further changes are quoted separately or covered under a Care Plan where minor.
7. Intellectual Property & Ownership
You own everything, always. Upon full final payment, all deliverables – including design files, source code, content and configurations created for your project – become your exclusive property. Your domain name and hosting accounts are registered and remain in your name at all times. We will never hold your website hostage.
We retain ownership of our pre-existing tools, frameworks and reusable internal components, and grant you a perpetual licence to use them within your delivered website.
Portfolio rights: Unless you ask us in writing not to, we may display your completed website and business name in our portfolio and case studies. You may opt out at any time, including after launch.
8. Care Plan / Maintenance Services
The Care Plan ($79/month) includes: platform/plugin updates, scheduled backups, security monitoring and reasonable small content changes (text swaps, image replacements). It excludes new page designs, custom development, third-party licence fees and major reworks – these are quoted separately.
You may cancel anytime; cancellation takes effect at the end of the paid month. No lock-in contracts, no cancellation fees.
9. Cancellations & Refunds
You may cancel a project at any time by written notice. Deposits and milestone payments cover work already performed: if you cancel mid-project, you pay for completed stages only (pro-rata against milestones), and we hand over all completed work and files. No hidden exit penalties.
Because our services are custom creative work produced specifically for you, deposits become non-refundable once design work has commenced.
10. Warranties & Disclaimers
We warrant that services will be performed with professional skill and care. Beyond this, and to the extent permitted by law, the website and services are provided “as is”, and we disclaim other implied warranties.
We do not guarantee specific search engine rankings, traffic volumes or revenue outcomes – no honest agency can. What we guarantee is documented best-practice implementation of the SEO foundations described in your quote.
11. Limitation of Liability
To the maximum extent permitted by law, Vebrixa’s total liability under these Terms is limited to the amount you actually paid us for the service giving rise to the claim. We are not liable for indirect or consequential losses (lost profits, lost data, business interruption), except where such limitation is prohibited by law.
Australian clients: Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth).
12. Confidentiality
Both parties agree to keep non-public business information shared during a project confidential, and to use it only to perform the project. This obligation survives project completion.
13. Termination
Either party may terminate a project for material breach that remains unresolved 14 days after written notice. Sections relating to payment for work done, intellectual property, confidentiality, liability and governing law survive termination. Care Plan cancellations follow Section 8.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of Pakistan, where Vebrixa is operated.
Before any formal action, both parties agree to attempt good-faith resolution via direct discussion (including video call) for up to 30 days – most issues resolve in one conversation.
Australian clients: Nothing in these Terms limits your rights under the Australian Consumer Law, including statutory guarantees, regardless of the governing law stated above.
15. Changes to These Terms
We may update these Terms from time to time; the version date at the top shows the current edition. For active projects, the Terms in effect at project start continue to apply for that project’s duration.
